Representative Legal Matters
Advised on the investment made by Sumitomo Corporation in a Wind Farm project, one of two renewable projects developed by AMEA Power in Egypt, with a capacity of 1000 megawatts and a value of USD 1.1 billion.

Acting for the Sovereign Fund of Egypt in connection with the PIF- owned the Saudi Egyptian Investment Company (SEIC)'s investment in 4 leading Egyptian companies listed on the Egyptian Stock Exchange, at a value of USD 1.3 billion. The 4 companies are: Abu Qir Fertilizers and Chemicals Industries Co., Misr Fertilizers Production Co., Alexandria Container and Cargo Handling Co. and E-Finance for Digital and Financial Investments SAE.

Advised EFG Hermes and its buy-now-pay-later (BNPL) fintech platform, valU for consumer finance S.A.E (valU), on the planned (i) acquisition by valU of a stake in a new Saudi consumer finance player, FAS Finance, and its joint venture arrangements with FAS Labs Holding and (ii) investment by members of Alhokair family in a minority stake in valU.

Advised a consortium of financial investors led by Amethis and included SPE AIF I (SPE Capital Partners) and European Bank for Reconstruction and Development (EBRD), on the acquisition of a 95% stake of GlobalCorp- for Financial Services.

Acted for EFG Hermes and its subsidiary valU for Financial Services in connection with their proposed joint venture arrangements with Fawaz Abdulaziz Al Hokair in Saudi Arabia to establish a consumer finance business that will be led by valU.

Acted for a consortium of financial investors led by Amethis Fund II S.C.A., SICAR (Amethis) and including SPE AIF I, LP (SPE Capital) and European Bank for Reconstruction and Development for the acquisition of a 95% stake of GlobalCorp for Financial Services and its group of companies in Egypt from each of SANAD Fund for MSME – Equity Sub-Fund and Ezdehar Egypt Mid-Cap Fund Coöperatief U.A. and the founder. The transaction marks the first investment by Amethis in the Egyptian market.
Prior to joining the Firm, Ingy handled the following matters:

Advising Infinity Power Holding on the acquisition of various renewable energy sites in South Africa.

Advising Infinity Energy on the issuance of primary shares to the European Bank for Development and Reconstruction. The transaction involved various arrangements between the two parties considering the nature of the investor.

Advising Infinity Energy on its joint venture arrangements with Masdar, the Abu Dhabi renewable energy investment arm, and the establishment of their joint venture company "Infinity Power".

The transaction entailed the restructuring of the whole Infinity group and the transfer of various assets and the acquisition of new assets under the new umbrella of the JV.

Advising EFG Hermes on the acquisition of a stake in Option Travel, a transportation company in Egypt.

Advising Ekuity Holding, the Kuwait investment arm in Egypt on the acquisition of a minority stake in Alunile from Ezdehar, a private equity fund.

Advising Family Transport on the sale of primary and secondary shares in the company to Ezdehar.

Advising Family Transport on the purchase of electric buses and the supply of the buses to Orascom for the purpose of developing the area of the Great Pyramids of Giza.
